1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and BrandAid, Inc., a Florida corporation operating under the registered trade name Bindific (“Bindific,” “we,” “us,” or “our”). By accessing or using the Bindific web application and related services (“Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including insurance agents, agencies, and any authorized representatives.

2. Description of Service

Bindific is a SaaS platform that provides licensed insurance agents and agencies with:

• AI-powered video script generation based on uploaded policy documents.
• Automated follow-up email campaign management, conducted on behalf of the agent or agency.
• Tools to convert prospective clients into booked appointments.

Bindific is a software tool only. We do not provide insurance advice, act as an insurance agent, or engage in the sale or solicitation of insurance products.

3. Eligibility

You must be a licensed insurance agent or authorized representative of a licensed insurance agency to use this Service. By using Bindific, you represent and warrant that you have all necessary licenses, permissions, and legal authority to operate in the insurance industry in your jurisdiction.

4. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Billing

Bindific is offered on a monthly subscription basis at the following tiers:

Subscriptions are billed monthly. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period. We reserve the right to change pricing with reasonable advance notice to subscribers.

6. Acceptable Use

By using Bindific, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload documents containing Protected Health Information (PHI) or other sensitive data not related to insurance policy solicitation.
• Send email campaigns that are deceptive, misleading, or in violation of the CAN-SPAM Act or any other applicable email marketing laws.
• Use the Service to harass, spam, or contact individuals who have not provided consent to receive communications.
• Attempt to reverse-engineer, copy, or exploit any part of the platform.
• Share your account credentials with unauthorized third parties.

7. Email Campaigns Conducted on Your Behalf

When you use Bindific's email campaign feature, you acknowledge and agree that:

• All emails are sent on your behalf and represent your business communications.
• You are solely responsible for ensuring that your email campaigns comply with all applicable laws, including the CAN-SPAM Act and any state-specific regulations.
• You represent that you have obtained any necessary consent from recipients to receive email communications.
• Bindific acts solely as a technology service provider and is not responsible for the content, compliance, or outcomes of your email campaigns.
• Email campaigns will cease for individual prospective clients once they have booked an appointment with you.

8. Document Uploads

By uploading documents to Bindific, you represent and warrant that:

• You have the legal right to upload and use those documents.
• The documents do not contain PHI, financial account numbers, or other sensitive information beyond what is necessary for insurance solicitation purposes.
• As described in our Privacy Policy, all uploaded documents are permanently deleted from our servers immediately after your AI script is generated.

9. Intellectual Property

Bindific retains all rights, title, and interest in and to the platform, including all software, designs, and content we create. AI-generated scripts produced using your uploaded data are provided to you for your use. You retain ownership of your own data and client information.

10. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied. Bindific does not warrant that the service will be uninterrupted, error-free, or that any particular result will be achieved from use of the platform.

11. Limitation of Liability

To the maximum extent permitted by law, Bindific shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from use of the service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bindific and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Polk County, Florida.

15. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform with a revised effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
